Please read these terms and conditions carefully before engaging our custom software development, Shopify Liquid engineering, or DevOps retainer services.
Agreement Overview
By commissioning Webdail Technology (“Webdail”, “we”, “us”) through a signed statement of work (SOW), online proposal approval, or invoice payment, the client (“you”) agrees to the commercial and technical stipulations outlined below.
1. Scope of Work & Milestone Approvals
All development sprints (including Next.js frontend architectures, API endpoints, Shopify stores, and database schemas) are executed strictly according to the approved project brief or formal quote.
• Milestone Iterations: Projects are segmented into progressive milestones (Wireframes $\rightarrow$ Prototype Development $\rightarrow$ Quality Assurance $\rightarrow$ Production Deployment). Feedback must be provided within 5 business days of milestone presentation.
• Scope Creep & Revisions: Any additional feature requests, architectural changes, or third-party integrations not included in the original agreement will be estimated separately under an addendum change order.
2. Intellectual Property (IP) Ownership
We respect your proprietary rights and adhere to clear intellectual property boundaries:
• 100% Client Code Ownership: Upon complete settlement of all agreed invoices, full ownership of bespoke frontend code, custom assets, databases, and copywriting created specifically for your project is transferred entirely to you.
• Open-Source & Reusable Libraries: Third-party open-source components (e.g., React, Next.js, Tailwind CSS, Lucide icons, Node packages) remain governed by their respective licenses (MIT, Apache, BSD).
• Portfolio Showcase Rights: Unless protected by a signed non-disclosure agreement (NDA), Webdail reserves the right to showcase non-confidential project visuals and live links within our client directory and case studies.
3. Payment Schedules & Commercial Terms
• Advance Deposit: Development kicks off only after receipt of the initial advance commitment deposit specified in your invoice.
• Due Dates: Invoices are payable within 7 business days of issuance. Delayed payments exceeding 15 days may result in temporary suspension of active development environments or staging servers.
• Taxation: Applicable statutory GST (18%) or local taxes are added to quotes as required by government compliance frameworks.
4. Hosting, Server Management & SLA
For clients subscribing to our Cloud DevOps, Docker maintenance, or Annual Maintenance Contract (AMC) plans:
• Uptime SLA: We strive to maintain 99.9% application availability on managed server blocks. However, outages caused by upstream cloud providers (e.g. AWS, Cloudflare, Vercel, Shopify) or external domain registrar blackouts remain outside Webdail's direct liability.
• Emergency Escalation: Critical production outages must be raised through our priority 24/7 Support Desk with an emergency SLA target response of < 1 hour for active AMC retainers.
5. Client Obligations & Content Warranties
The client confirms that all textual content, branding graphics, trademarks, and third-party APIs provided to Webdail for integration are legally owned by the client or properly licensed. The client indemnifies Webdail Technology against any copyright infringement claims arising from client-supplied materials.
6. Limitation of Liability
In no event shall Webdail Technology, its directors, or developers be held liable for any indirect, incidental, punitive, or consequential damages (including lost corporate profits, business interruptions, or data loss) resulting from server hardware downtime, malicious cyberattacks, or third-party API deprecations. Our maximum aggregate liability shall not exceed the total fees paid by the client for the specific project milestone under contention.
7. Governing Law & Dispute Resolution
These terms are constructed and governed in accordance with the laws of the Republic of India. In the event of any commercial dispute, parties agree to seek amicable resolution through good-faith mediation before submitting to the exclusive jurisdiction of the competent courts in Delhi NCR, India.
